Terms of Service

Effective Date: May 1, 2025

These Terms of Service ("Terms") govern your access to and use of the OuterSignal service (the "Service") provided by OuterSignal, Inc. ("OuterSignal," "we," or "us"). By registering for or using the Service at https://outersignal.com (the "Site"), you agree to these Terms.

1. Definitions

Account means your OuterSignal user account.

Customer Data means data you provide or connect via integrations (e.g. Shopify orders, customer profiles).

Confidential Information means non-public information disclosed under these Terms.

2. The Service

OuterSignal is a SaaS platform that ingests your e-commerce order data (e.g. Shopify), enriches it, and sends real-time alerts and analytics to help you identify, engage, and retain high-value customers. Key features include, but are not limited to:

  • Instant Historical Search
  • Real-time Alerts (Slack, e-mail)
  • Profile Enrichment
  • Customizable Notifications
  • Audience Segmentation

3. Registration & Account Security

  • You must be at least 18 and provide accurate registration details.
  • You must be an authorized administrator of the e-Commerce platform you connect to OuterSignal.
  • You're responsible for safeguarding your password and any API keys. Notify us immediately of any unauthorized use.

4. Fees & Payment

  • Plans & Billing. OuterSignal offers monthly subscription plans (Starter, Plus, Pro) as described on the Site. All fees are quoted in USD.
  • Free Trial. New customers may receive a one-time free trial upon demo booking. After trial, billing begins automatically.
  • Payment. We charge via the payment method on file. You authorize us to store and charge that method for all recurring fees, as well as maintain a prepaid credit balance to pay for any search costs. You authorize us to auto-recharge your payment method when your credit balance requires replenishment.
  • Late Payments. Past-due amounts accrue interest at 1.5% per month or the maximum permitted by law.

5. Term & Termination

  • Term. These Terms commence on your signup date and continue on a month-to-month basis until cancelled.
  • Auto-Renewal. Unless you cancel at least five days before your next billing date, your subscription renews automatically.
  • Termination for Cause. Either party may terminate for a material breach if not cured within 30 days' written notice.
  • Effect of Termination. Upon termination your access to OuterSignal ends.

6. Customer Data & Confidentiality

  • Customer Data Ownership. You own all rights to your Customer Data. We process it solely to provide the Service. New data generated through OuterSignal's services is the property of OuterSignal and is made available to Client for use during the term of this Agreement. OuterSignal may use derivative data to improve and enhance its offerings. OuterSignal never uses Customer Data or derivative data for marketing, or any other external activity.
  • Confidentiality. Each party agrees to protect the other's Confidential Information with the same care it uses for its own, but no less than reasonable care.

7. Intellectual Property

  • OuterSignal and its licensors retain all IP rights in the Service and Site.
  • You grant us a non-exclusive license to use your trademarks and logos for marketing and case studies, subject to your prior approval.

8. Warranties & Disclaimers

  • Mutual. Each party represents that it has the right to enter into these Terms.
  • Service. OuterSignal will use commercially reasonable efforts to keep the Service available 24/7, but disclaims any uptime guarantee.
  • Disclaimer. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You will indemnify and hold harmless OuterSignal (and its officers, directors and employees) from any third-party claim arising out of a) your breach of these Terms, b) your misuse of the Service, or c) your Customer Data.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the federal or state courts located in New York County, NY, and you consent to personal jurisdiction there.

12. Changes

We may update these Terms at any time by posting the new version on the Site. Continued use of the Service after the effective date constitutes acceptance.
